PreviouslyourChinabusiness,liketherestofourinternational
businesses,closedonemonth(oroneperiodforcertainof
ourinternationalbusinesses)earlierthanYUM’speriodend
datetofacilitateconsolidatedreporting.Tomaintaincompa-
rabilityofourconsolidatedresultsofoperations,amounts
relatedtoourChinabusinessforDecember2004havenot
beenreflectedinourConsolidatedStatementsofIncome
andnetincomeoftheChinabusinessof$6millionforthe
onemonthperiodendingDecember31,2004wasrecog-
nized as an adjustment directly to consolidated retained
earnings in the year to date ended December31, 2005.
Ourconsolidatedresultsofoperationsfortheyeartodate
ended December31, 2005 include the results of opera-
tionsoftheChinabusinessforthemonthsofJanuary,2005
throughDecember,2005.Ourconsolidatedresultsofopera-
tionsfortheyearstodateendedDecember25,2004and
December27,2003continuetoincludetheresultsofopera-
tionsoftheChinabusinessforthemonthsDecember,2003
through November, 2004 and December, 2002 through
November,2003,respectively,aspreviouslyreported.
AdoptionofStatementofFinancialAccountingStandards
No.123R,“Share-BasedPayment” Inthefourthquarter
2005,theCompanyadoptedSFASNo.123(Revised2004),
“Share-Based Payment” (“SFAS123R”), which replaces
SFASNo.123“AccountingforStock-BasedCompensation”
(“SFAS123”),supersedesAPB 25, “AccountingforStock
IssuedtoEmployees”andrelatedinterpretationsandamends
SFASNo. 95,“Statement of Cash Flows.” The provisions
of SFAS123RaresimilartothoseofSFAS123,however,
SFAS123Rrequiresallnew,modifiedandunvestedshare-
basedpaymentstoemployees,includinggrantsofemployee
stockoptionsandrestrictedstock,berecognizedinthefinan-
cialstatementsascompensationcostovertheserviceperiod
basedontheirfairvalueonthedateofgrant.Compensation
costisrecognizedovertheserviceperiodonastraight-line
basisforthefairvalueofawardsthatactuallyvest.
WeadoptedSFAS123Rusingthemodifiedretrospec-
tiveapplicationtransition methodeffectiveSeptember4,
2005,thebeginningofourfourthquarter.Aspermittedby
SFAS123R,weappliedthemodifiedretrospectiveapplica-
tiontransitionmethodtothebeginningofthefiscalyearof
adoption(ourfiscalyear2005).Assuch,thefirstthreefiscal
quartersof2005arerequiredtobeadjustedtorecognize
thecompensationcostpreviouslyreportedintheproforma
footnote disclosures under the provisions of SFAS123.
However,yearspriorto2005havenotbeenrestated.
The adoption of SFAS123R in 2005 resulted in the
reductionofoperatingprofitof$58million($10millionin
payroll andemployeebenefits and$48million ingeneral
andadministrativeexpense),areductionofnetincomeof
$38million(netoftaxbenefitsof$20million),areduction
ofbothbasicanddilutedearningspershareof$0.13per
share,areductionof$87millionincashflowsfromoper-
atingactivitiesandanincreaseof$87millionincashflows
fromfinancingactivities.
