Composition
In accordance with its by-laws, the Company is managed by a Board of Directors composed of no less than five and no
more than fifteen members, appointed by the Meeting of Stockholders, once the number of directors has been decided.
The Board of Directors currently in office was appointed by the Ordinary Meeting of Stockholders held on April 24,
2015, and shall remain in office until the Meeting of Stockholders approves the financial statements for the fiscal year
ending on December 31, 2017.
The Board of Directors is composed of fourteen Directors.
On January 29, 2016 Adil Mehboob-Khan, former CEO for Markets, resigned. On March 1, 2016 the Board of
Directors co-opted Francesco Milleri, whose office will expire concurrently with the Meeting of Stockholders on April
29, 2016.
The Board of Directors in office until April 24, 2015 was comprised of eleven members. For more detailed information

Detailed information on the powers assigned to the Board can be found below in the section on “Executive Directors”.
