(e) The Company shall have the power to purchase and maintain insurance on behalf of any Person who is or was a Covered Person or is or
was serving at the request of the Company as a director, officer, employee or agent of another corporation, partnership, joint venture, trust or
other enterprise against any expense, liability or loss incurred by such Person in any such capacity or arising out of his status as such, whether or
not the Company would have the power to indemnify him against such liability under the Laws of the State of Delaware.
(f) Notwithstanding any provision of this Agreement to the contrary, the provisions of this Section 6.01 shall survive the termination,
voluntary or involuntary, of the status of a Member as such, the termination, voluntary or involuntary, of the status of any Covered Person or
other Person as to whom the provisions of this Section 6.01 apply as such and the termination of this Agreement or dissolution of the Company.
(g) The provisions of this Section 6.01 shall be applicable to any action, suit or proceeding commenced after the date of this Agreement
against any Covered Person arising from any act or omission of such Covered Person acting in its capacity as such, whether occurring before or
after the date of this Agreement. No amendment to or repeal of this Section 6.01, or, to the fullest extent permitted by Law, any amendment of
Law, shall have any effect on the rights provided under this Section 6.01 with respect to any act or omission occurring prior to such amendment
or repeal.
(h) The indemnification hereby provided and provided hereafter pursuant to the power hereby conferred by this Section 6.01 on the Board
shall not be exclusive of any other rights to which any Person may be entitled, including any right under policies of insurance that may be
purchased and maintained by the Company or others, with respect to claims, issues or matters in relation to which the Company would not have
the power to indemnify such Person under the provisions of this Section 6.01. Such rights shall not prevent or restrict the power of the Company
to make or provide for any further indemnity, or provisions for determining entitlement to indemnity, pursuant to one or more indemnification
agreements or other arrangements (including creation of trust funds or security interests funded by letters of credit or other means) approved by
the Board (whether or not any of the Members, Directors or Company officers shall be a party to or beneficiary of any such agreements or
arrangements); provided , however , that any provision of such agreements or other arrangements shall not be effective if and to the extent that it
is determined to be contrary to this Section 6.01 or applicable Law.
(i) Nothing contained in this Section 6.01 is intended to relieve any Member or any other Person from any liability or other obligation of
such Person pursuant to the Master Agreement or any other Transaction Agreement or to in
