35. Entire Agreement . Except as set forth herein, all of the terms and conditions of the Agreement, after giving effect to any consents,
waivers or other written agreements of the parties, shall remain in effect without modification. For clarity, the parties hereto agree that each such
consent, waiver or other written agreement of the parties, including, without limitation, (a) the letter agreement, dated as of March 9, 2010,
related to the treatment of certain factoring agreements, (b) the April 26 Agreement, (c) the September 27 Agreement, (d) the letter agreement,
dated as of October 26, 2010, related to certain specified expenditures, (e) the letter agreement, dated as of the date hereof, relating to NFL and
Olympics license guarantees, (f) the letter agreement, dated as of the date hereof, relating to certain IP addresses, and (g) the letter agreement,
dated as of the date hereof, relating to the “Peacock” funds, will survive the execution and delivery of this Amendment. For the avoidance of
doubt, Section 5 of each of the April 26 Agreement and the September 27 Agreement remain in effect without modification.
36. Other Provisions . The agreements set forth herein shall survive the Closing, notwithstanding any other provision of the Agreement.
This Amendment hereby incorporates the provisions of Sections 12.10, 12.11, 12.15 and 12.16 of the Agreement, mutatis mutandis .
