Licenses Irrevocable . Each Party acknowledges and agrees that the licenses granted under this IP Agreement, except where
specified otherwise, are perpetual and irrevocable, and that its remedy for breach by the other Party of the licenses granted to it hereunder or of
any other provision hereof, shall be to bring a claim to recover damages and to seek appropriate equitable relief, other than termination of the
licenses granted by it in this IP Agreement.
5.2
Copyrights . All licenses granted herein with respect to each Copyright shall expire upon the expiration of the term of such
Copyright.
ARTICLE VI.
MISCELLANEOUS
6.1
No Implied Licenses . No right or license is granted by implication or estoppel in connection with this IP Agreement, the APA
or any other Transaction Document. Except as expressly provided in this IP Agreement, the APA, or any other Transaction Agreement,
