“Business Financial Statements” has the meaning ascribed to it in Section 5.3.
“Cash Consideration” has the meaning ascribed to it in Section 2.1.
“Closing” means the consummation of the purchase and sale of the Acquired Assets and assumption of the Assumed Liabilities, as set
forth in Section 7 of this Agreement.
“Closing Breach” has the meaning ascribed in Section 8.2.
“Closing Date” means the date on which the Closing occurs.
“Component” shall mean any components, assemblies and other materials (other than an integrated and complete HDDs), including
without limitation magnetic discs, motors, actuators, and ASICs and other semiconductor products.
