Except as set forth in Schedule 3.12(j) of the Seller Disclosure Schedules or those corporate level cross licenses to
which the Seller is a party and where the Seller has disclosed to the Purchaser the other parties thereto through a process to be mutually
agreed upon, the Seller has not entered into any written Contract granting to any third party any general right or license to any
Transferred Patent or Transferred Trademark (“ Out-Licenses ”).
(k)
Except as set forth on Schedule 3.12(k) of the Seller Disclosure Schedules, none of the Product Software owned by
the Seller or any Affiliate of the Seller and used in the Business at the Closing includes any Open Source Materials.
