Without prejudice to the foregoing, if the Seller becomes liable to pay any Irish stamp duty as a result of the
execution of the Transaction Documents or on the allotment of the Shares (as such term is defined in the form of the Loan Note attached
as Exhibit E hereto), the Seller shall notify the Purchaser promptly and the Purchaser shall pay promptly to the Seller by way of
liquidated damages an amount equal to any such stamp duty and any interest or penalties or surcharges payable in respect thereof.
