Summary of Changes in Amended and Restated 2007 Plan
The Amended and Restated 2007 Plan contains the following material changes from the Amended 2007 Plan:
• The aggregate number of shares of our common stock authorized for issuance under the Amended and Restated
2007 Plan is 187,767,766 shares, which is an increase of 10,000,000 shares over the number of shares of our
common stock authorized for issuance under the Amended 2007 Plan.
• With respect to performance-based awards (including performance-based stock and cash awards that are intended
to qualify as “performance-based compensation” within the meaning of Section 162(m) of the Code), the Amended
and Restated 2007 Plan provides for (i) certain additional types of performance criteria upon which the applicable
performance goals for such awards may be based, and (ii) certain additional types of adjustments that may be made
in the method of calculating whether the applicable performance goals for such awards have been attained.
Recommendation of the Board
The Board recommends that you vote FOR the approval of the Amended and Restated 2007 Plan.
