The following table provides information regarding all grants of plan-based awards that were made to or earned by our
named executive officers during fiscal year 2014. Disclosure on a separate line item is provided for each grant of an award
made to a named executive officer. The information in this table supplements the dollar value of stock options and other
awards set forth in the Summary Compensation Table for Fiscal Years 2014, 2013 and 2012 by providing additional details
about the awards.
The option grants to purchase shares of our common stock set forth in the following table were made under our Amended
2007 Plan. The exercise price of options granted under the Amended 2007 Plan is equal to the closing price of our common
stock as reported by NASDAQ on the date of grant. Under the Amended 2007 Plan, the exercise price may be paid in cash,
in shares of our common stock valued at fair market value on the exercise date or through a cashless exercise procedure
involving a same-day sale of the purchased shares. All stock option grants are subject to service based vesting.
