are Independent Directors. The authority and responsibility of the Finance Committee, which met three times
during 2014, are described above (see “Corporate Governance—Committees of the Board”) and set forth in
detail in its charter.
Marketing and Customer Care Committee. The members of the Marketing and Customer Care
Committee during 2014 were Carole Black, who served as the Chair, Don Logan, Edward Shirley and John
Sununu. All of the members of the Marketing and Customer Care Committee were Independent Directors. The
authority and responsibility of the Marketing and Customer Care Committee are described above (see “Corporate
Governance—Committees of the Board”). The Committee did not meet separately from the Board during 2014
and, effective January 1, 2015, was disbanded.
