Main Activities During FY2015/16
In the fiscal year ended March 31, 2016, the Committee held two meetings, with all members in attendance
at each meeting. The attendance record of the Committee’s members is set out on page 73 in this report
and the chart below shows how the Committee allocated its time during the fiscal year 2015/16.

• Reviewed and recommended to the Board on the structure, size
and composition of the Board including the diversity and balance
of skill, knowledge and experience of the directors.
• Considered and recommended the appointment of Mr. Gordon Orr
as a non-executive director.
• Reviewed and discussed the progress against Board diversity
targets.
Assessment of the performance
of the Chairman and CEO
• Assessed the performance of the Chairman and CEO for the fiscal
year 2014/15 and making recommendation to the Compensation
Committee.
• Reviewed the arrangement of same person acting as Chairman and
CEO.
