Key Features
The Committee’s terms of reference which clearly deal with its membership, authority, duties and
frequency of meetings are published on the websites of the Company and Hong Kong Exchanges
and Clearing Limited.
The Committee meets with management and external independent professional adviser at least
four times a year at quarterly intervals and is provided with sufficient resources to perform its
duties.
The Committee is authorised to obtain outside independent professional advice in performing its
duties at the Company’s expense.
The Committee shall ensure that no director is involved in deciding his or her own individual
compensation.
Separate executive session was arranged for the Committee to meet with independent consultant
in the absence of executive director and management to discuss matters relating to any issues
and any other matters such persons would like to raise.
The chairman will report back to the Board after each of the Committee meeting on its decisions
or recommendations.
