(i)NewHires.With respecttoany individual whobecomesemployed byDeltaas agrade8 or anymoresenior MIP-
eligiblepositionduring2016butafterJanuary1,2016,suchindividualwillbeaParticipantintheMIPandwillbeeligibletoreceive
anawardundertheMIPfor2016;provided,thatsuchParticipant’sAnnualBaseSalarywillbetheresultofthefollowingformula:X
×Y/12,where:
X=theParticipant’sannualbasesalaryasofDecember31,2016;and
Y=thenumberofcalendarmonthstheParticipantwasactivelyemployedbyDeltainaMIP-eligiblepositionduring2016,
roundedupforanypartialmonth.
(ii)Promotions.ParticipantswhoareeitherpromotedintoaMIP-eligiblejoblevelorpromotedintoahigherlevelofMIP
participationduring2016 willhave theirTargetMIP Award calculatedbasedon their annualbasesalary at eachMIP-eligiblejob
level (measured as of the date immediately prior to the date the promotion is considered effective for purposes of the MIP, if
applicable, as described in the first paragraph of Section 8(b) above, and as of December 31, 2016) and the number of calendar
monthstheywereemployedineachsuchcapacity,multipliedbytherelevanttotaltargetawardpercentageapplicabletotheirposition
orpositionsduringtherelevantperiod.
(iii)Demotions.ParticipantswhoareeitherdemotedtoapositionthatisnoteligibletoparticipateintheMIPordemotedto
alowerlevelofMIPparticipationduring2016willhavetheirTargetMIPAwardcalculatedbasedontheirannualbasesalaryateach
MIP-eligiblejoblevel(measuredasofthedateimmediatelypriortothedatethedemotionisconsideredeffectiveforpurposesofthe
MIP, as described in the first paragraph of Section 8(b) above, and, if applicable, as of December 31, 2016) and the number of
calendarmonths theywere employed ineach suchcapacity,multiplied bythe relevanttotaltarget awardpercentage applicableto
theirpositionorpositionsduringtherelevantperiod.
(iv)TransfersandLeavesofAbsence.Intheeventthatduring2016aParticipant(A)transfersemploymentfromDeltatoa
Delta subsidiary or Affiliate that does not participate in the MIP or (B) goes on any type of leave at any time during 2016, the
ParticipantwillhavehisTargetMIPAwardcalculated,subjecttoSection8(b)(v),basedonhisannualbasesalary(measuredasofthe
dateimmediatelypriortothedatethetransferorleaveisconsideredeffectiveforpurposesoftheMIP)andthenumberofcalendar
monthshewas actively employedinaMIP-eligible position during2016,multipliedby the relevanttotaltargetaward percentage
applicabletohisMIP-eligibleposition.
(v)MilitaryLeave.Intheeventthatatanytimeduring2016aParticipantisonaMilitaryLeaveofAbsence,hisorher
Annual Base Salary shall be equal to the aggregate annual base salary the Participant received from Delta during 2016 plus any
amountofbase salarysuchParticipant wouldhave receivedhadhe orshebeen actively employedbyDelta inanycorresponding
MIP-eligiblepositionduringsuchleave.“MilitaryLeaveof Absence ” meansa Participant’s absencefrom his orher position of
employment at any time during 2016 because of service in the uniformed services, as defined under the Uniformed Services
Employment and Reemployment Rights Act of 1994, as amended (“ USERRA ”); provided, that a Participant must provide the
Companyappropriateevidencethathisorherabsencewasduetoserviceintheuniformedservicesandtheperiodofsuchservicein
ordertobeconsideredtobeonaMilitaryLeaveofAbsenceforpurposesoftheMIP.ForpurposesoftheMIP,anyParticipantwhois
absentduetomilitaryservice(accordingtoDelta’srecords)asofDecember31,2016andhasbeenonsuchleaveforacumulative
period(duringtheperiodheorshehasbeenemployedbyDelta)offiveyearsorless,willbepresumedtobeonaMilitaryLeaveof
Absence.AnyParticipantwhoissimilarlyabsentduetomilitaryservice(basedonDelta’srecords)andwhohasbeenonsuchleave
foraperiodofmorethanfiveyearswillnotbeconsideredtobeonaMilitaryLeaveofAbsenceuntilheorsheprovidesappropriate
evidencethatheorsheisentitledtoanexceptiontothefive-yearlimitonuniformedserviceassetforthinUSERRA.
