Railway Labor Act
OurrelationswithlaborunionsrepresentingourairlineemployeesintheU.S.aregovernedbytheRailwayLaborAct.UndertheRailwayLaborAct,alabor
unionseekingtorepresentanunrepresentedcraftorclassofemployeesisrequiredtofilewiththeNationalMediationBoard(the“NMB”)anapplicationalleginga
representationdispute,alongwithauthorizationcardssignedbyatleast50%oftheemployeesinthatcraftorclass.TheNMBtheninvestigatesthedisputeand,if
itfindsthelaborunionhasobtainedasufficientnumberofauthorizationcards,conductsanelectiontodeterminewhethertocertifythelaborunionasthe
collectivebargainingrepresentativeofthatcraftorclass.Alaborunionwillbecertifiedastherepresentativeoftheemployeesinacraftorclassifmorethan50%
ofvotescastareforthatunion.Acertifiedlaborunionwouldcommencenegotiationstowardacollectivebargainingagreementwiththeemployer.
UndertheRailwayLaborAct,acollectivebargainingagreementbetweenanairlineandalaboruniondoesnotexpire,butinsteadbecomesamendableasofa
stateddate.EitherpartymayrequestthattheNMBappointafederalmediatortoparticipateinthenegotiationsforaneworamendedagreement.Ifnoagreementis
reachedinmediation,theNMBmaydetermine,atanytime,thatanimpasseexistsandofferbindingarbitration.Ifeitherpartyrejectsbindingarbitration,a30-day
“coolingoff”periodbegins.Attheendofthis30-dayperiod,thepartiesmayengagein“selfhelp,”unlesstheU.S.PresidentappointsaPresidentialEmergency
Board(“PEB”)toinvestigateandreportonthedispute.TheappointmentofaPEBmaintainsthe“statusquo”foranadditional60days.Ifthepartiesdonotreach
agreementduringthisperiod,thepartiesmaythenengageinselfhelp.Selfhelpincludes,amongotherthings,astrikebytheunionortheimpositionofproposed
changestothecollectivebargainingagreementbytheairline.CongressandthePresidenthavetheauthoritytopreventselfhelpbyenactinglegislationthat,among
otherthings,imposesasettlementontheparties.
Collective Bargaining
AsofDecember31,2015,wehadapproximately83,000full-timeequivalentemployees,approximately18%ofwhomwererepresentedbyunions.The

Inaddition,209refineryemployeesofMonroearerepresentedbytheUnitedSteelWorkersunderanagreementthatexpiresonFebruary28,2019.This
agreementisgovernedbytheNationalLaborRelationsAct("NLRA"),whichgenerallyallowseitherpartytoengageinselfhelpupontheexpirationofthe
agreement.
Laborunionsperiodicallyengageinorganizingeffortstorepresentvariousgroupsofouremployees,includingatouroperatingsubsidiaries,thatarenot
representedforcollectivebargainingpurposes.
