INDEPENDENT AUDITOR’S REPORT (CONTINUED)
Responsibilities of the Board of Directors
The Board of Directors is responsible for preparing financial statements that:
•฀comply฀with฀generally฀accepted฀accounting฀practice฀in฀New฀Zealand;฀and
•฀give฀a฀true฀and฀fair฀view฀of฀the฀Company฀and฀Group’s฀nancial฀position,฀nancial฀performance฀and฀cash฀ows.
The Board of Directors is also responsible for such internal control as it determines is necessary to enable the preparation of financial
statements that are free from material misstatement, whether due to fraud or error. The Board of Directors is also responsible for the
publication of the financial statements, whether in printed or electronic form.
The Board of Directors’ responsibilities arise from the Financial Reporting Act 1993.
Responsibilities of the Auditor
We are responsible for expressing an independent opinion on the financial statements and reporting that opinion to you based on our
audit. Our responsibility arises from section 15 of the Public Audit Act 2001.
Independence
When carrying out the audit, we followed the independence requirements of the Auditor-General, which incorporate the independence
requirements of the External Reporting Board.
In addition to the audit we have carried out assignments in the areas of taxation compliance and other services, relating to business
and information technology processes and security controls, which are compatible with those independence requirements. In addition
to these assignments, principals and employees of our firm deal with the Company and Group on arm’s length terms within the ordinary
course of trading activities of the Company and Group. Other than the audit and these assignments and arm’s length transactions,
we have no relationship with or interests in the Company, or any of its subsidiaries.
