Principal Occupation: Chairman and Chief Executive Officer of Leucadia National Corporation, a
diversified holding company engaged in a variety of businesses, including
manufacturing, real estate activities, medical product development, winery
operations and residual banking and lending activities (‘‘Leucadia’’) since
1978. Leucadia also owns equity interests in operating businesses and
investment partnerships, which are accounted for under the equity method
of accounting, including gaming, entertainment, land-based contract oil and
gas drilling, real estate activities and development of a copper mine in
Spain.
Experience The Board recognizes the breadth and depth of Mr. Cumming’s considerable
business expertise, which he has developed through more than 30 years of
service as the Chairman of the Board of a large, diversified business
enterprise. Mr. Cumming brings to the Board valuable experience serving as
a director of other public companies, which enhances his contributions to
the Board’s activities. Mr. Cumming draws upon his vast experience in
corporate governance to carry out his duties as the Chairman of our
Nominating and Corporate Governance Committee. Mr. Cumming has
applied his extensive financial acumen to encourage disciplined financial
management in the Company’s operations. Mr. Cumming’s finance and
investment skills, together with his extensive background in mergers,
acquisitions and business reorganizations, have been increasingly valuable to
the Board’s deliberations as the Company has explored and pursued various
growth and expansion opportunities.
Other Directorships: In connection with his service as Chairman of the Board of Leucadia,
Mr. Cumming currently serves as a director on the following Leucadia-
affiliated companies, each with at-least 20% Leucadia direct ownership.
• Jeffries Group, Inc. an investment bank and institutional securities firm;
• AmeriCredit Corp., an auto finance company;
• Fortescue Metals Group, an Australian public iron ore mining company;
and
• Home Fed Corp., a real estate investment and development company.
Mr. Cumming’s service as a director of the Company is his only service as a
director, other than for companies in which Leucadia holds ownership of at
least 20%.
