provisions of Schedule 9.1(a)(iii) under the caption "RAM Sharing" in respect of the immediately preceding
Program Year, NMG shall pay the amount of such deficiency to Bank.
As used herein, the "Annual RAM Sharing Amount" means the following:
(i) If the Profit Sharing Post MP RAM for the immediately preceding Program Year is equal to or greater than
[***] but less than [***], an amount equal to [***] of the amount of such excess times Average Daily Gross
Receivables for the immediately preceding Program Year.
(ii) If the Profit Sharing Post MP RAM for the immediately preceding Program Year is equal to or greater than
[***] and less than or equal to [***], an amount equal to the sum of (A) [***] times Average Daily Gross
Receivables and (B) [***] of the amount by which such Profit Sharing Post MP RAM exceeds [***] times Average
Daily Gross Receivables for the immediately preceding Program Year.
(iii) If the Profit Sharing Post MP RAM for the immediately preceding Program Year is greater than [***],
Bank shall pay to NMG an amount equal to the sum of (A) [***] times Average Daily Gross Receivables and
(B) [***] of the amount by which such Profit Sharing Post MP RAM exceeds [***] times Average Daily Gross
Receivables for the immediately preceding Program Year.
(c) Profitability Bonus.
If the Risk Adjusted Margin for the immediately preceding Program Year is greater than [***], Bank shall pay to NMG an amount
equal to [***] (the "Profitability Bonus").
