The Committee may, in its discretion, direct the Participant's Participating Employer to pay to the Participant the present value of any
such protected benefits, or to provide for payment of such benefits through another plan, or may direct a combination of the foregoing,
in lieu of providing such benefits under this Plan, and such payment or provision (or both) shall be in complete satisfaction of the
Participant's rights under this Plan.
