Article 1. - Definitions
Wherever used herein the following terms have the meanings set forth below, unless a different meaning is clearly required by the
context:
1.1. "Augmentation Plan" means the Augmentation to Pension Plan for Employees of Carter Hawley Hale Stores, Inc.
1.2. "Basic Plan" means The Neiman Marcus Group, Inc. Retirement Plan as amended from time to time. Reference to any
Article or Section of the Basic Plan shall include reference to any comparable or successor provisions of the Basic Plan as amended
from time to time.
1.3. "Board of Directors" means the Board of Directors of the Company.
1.4. "CHH Plan" means the Supplemental Executive Retirement Plan of Carter Hawley Hale Stores, Inc, as in effect on the
day before the Effective Date.
I.5. "Code" means the Internal Revenue Code of 1986, as amended from time to time. Reference to any Section or subsection
of the Code includes reference to any comparable or succeeding provisions of any legislation which amends, supplements or replaces
such Section or subsection.
1.6. "Committee" means the Employee Benefits Committee appointed by the Board of Directors or its Executive Committee.
1.7. "Company" means The Neiman Marcus Group, Inc., a Delaware corporation and any successor to all or substantially all
of its assets or business which assumes the obligations of the Company.
