As described in Management’s Report on Internal Control Over Financial Reporting appearing under Item 9A,
management has excluded the TDK Recording Media and Memcorp businesses from its assessment of internal control
over financial reporting as of December 31, 2007 because they were acquired by the Company in purchase business
combinations during 2007. We have also excluded the TDK Recording Media and Memcorp businesses from our audit of
internal control over financial reporting. TDK Recording Media and Memcorp businesses total assets and total net sales
represented 19.2% and 19.1%, respectively, of the related consolidated financial statement amounts as of and for the year
ended December 31, 2007.
