In September 2002, we dismissed Ernst & Young LLP as our independ-
ent auditors and engaged KPMG LLP as our new independent auditors
to audit our financial statements for the fiscal year ended March 31,
2003. We filed a current report on Form 8-K on September 23, 2002,
reporting these events.
The report of Ernst & Young LLP for the fiscal years ended March 31,
2002 and 2001 contained no adverse opinions, disclaimer of opinion or
qualification or modification as to uncertainty, audit scope or account-
ing principles.
We have had no disagreements with our accountants on any accounting
or financial disclosures.
Evaluation of Disclosure Controls and Procedures The Securities and
Exchange Commission defines the term “disclosure controls and proce-
dures” to mean a company’s controls and other procedures that are
designed to ensure that information required to be disclosed in the
reports that it files or submits under the Securities Exchange Act of
1934 is recorded, processed, summarized and reported, within the time
periods specified in the Commission’s rules and forms. Our chief execu-
tive officer and our chief financial officer, based on their evaluation of
the effectiveness of our disclosure controls and procedures within 90
days before the filing date of this report, concluded that our disclosure
controls and procedures were effective for this purpose.
Changes in Internal Controls There were no significant changes in our
internal controls or, to our knowledge, in other factors that could signif-
icantly affect these controls subsequent to the date of the evaluation
referenced above.
