open market transactions.
(b) Our Board of Directors authorized the purchase of up to $1.0 billion of our Class A Common Stock on August 9, 2004. Prior to 2006, we
purchased a total of 13.2 million shares for a total of $362.5 million. During the fourth quarter of 2006, our Board of Directors approved
extending this repurchase program to expire on the earlier of December 31, 2007 or when an aggregate amount of $1.0 billion of stock
has been purchased. Purchases under our repurchase program may be made through open market purchases, privately negotiated
transactions, or Rule 10b5-1 trading plans, subject to market conditions and other factors. We may elect not to purchase the maximum
amount of shares allowable under this program and we may also enter into additional share repurchase programs authorized by our Board
of Directors.
