AMENDMENT TO PURCHASE AND SALE AGREEMENT
THIS AGREEMENT is dated for reference February 11, 2011.

THEREFORE in consideration of $1.00 now paid by each party to the other and other good and valuable consideration, the receipt and
sufficiency of which are hereby acknowledged by each of the parties, the parties agree as follows:

A. By a purchase and sale agreement dated for reference December 22, 2010 between the Vendor and the Purchaser (the “
Purchase
Agreement ”), the Vendor agreed to sell and the Purchaser agreed to purchase, among other things, the lands and premises located at
1818 Cornwall Avenue, Vancouver, British Columbia and legally described as Parcel Identifier: 007-095-333, Lot A, Block 197, District
Lot 526, Plan 18728, on the terms and conditions set out in the Purchase Agreement; and
B.
The parties have agreed to amend the Purchase Agreement in accordance with the terms of this Agreement.
1.
Amendments
. The Vendor and the Purchaser agree that, effective as of the date of this Agreement, the Purchase Agreement is amended
as follows:
(a)
by deleting subsection 1.1(d) and replacing it with the following:
(
d)
Completion Date
means March 1, 2011;

and
(b)
by deleting subsection 3.3(a) and replacing it with the following:
“(
a)
Adjustment Date . Adjustments for the Purchased Property will be made as of the Completion Date and the payment due
pursuant to subsection 2.3(c) will be adjusted accordingly. Except as otherwise provided in this Agreement, the Vendor will
be responsible for all expenses and will be entitled to all revenues accrued with respect to the Purchased Property for the
period ending at 11:59:59 p.m. on the day before the Completion Date and, for the period from and after 12:00:01 a.m. on the
Completion Date, the Purchaser will be responsible for all expenses and will be entitled to all revenues accrued with respect to
the Purchased Property.
