Section 5.04 Transfer of Assets. Neither Frontier nor RAI will enter into an agreement (or series of agreements) to sell,
assign, transfer or convey all or substantially all of its assets to any Person unless, as part of such agreement, such Person agrees to
assume any and all of the seller’s rights, duties and obligations arising under this Agreement and the non-selling party consents in
writing in advance to such sale, assignment, transfer or conveyance.
