anddismissedthecase.

foundinfavoroftheplaintiffsonApril3,2013.OnOctober2,2013,thetrialcourtdeniedtheparties’post-trialmotionsandenteredjudgmentawarding
unpaidovertimewages,liquidateddamages,andpenaltiestotaling$4,960,787.Weappealedthejury’sverdictandtrialcourt’sawardtotheEighth
CircuitCourtofAppeals.OnAugust26,2015,theEighthCircuitreversedthejuryverdictandjudgment,andthetrialcourtsubsequentlyentered
judgmentinourfavoranddismissedthecase.

Oursubsidiary,TheHillshireBrandsCompany(formerlynamedSaraLeeCorporation),isapartytoaconsolidationofcasesfiledbyindividualcomplainantswith
theRepublicofthePhilippines,DepartmentofLaborandEmploymentandtheNationalLaborRelationsCommission(NLRC)from1998throughJuly1999.The
complaintisfiledagainstArisPhilippines,Inc.,SaraLeeCorporation,SaraLeePhilippines,Inc.,FashionAccessoriesPhilippines,Inc.,andAttorneyCesarC.
Cruz(collectively,the“respondents”).Thecomplaintalleges,amongotherthings,thattherespondentsengagedinunfairlaborpracticesinconnectionwiththe
terminationofmanufacturingoperationsinthePhilippinesbyArisPhilippines,Inc.,aformersubsidiaryofTheHillshireBrandsCompany.In2006,anarbitrator
ruledagainsttherespondentsandawardedthecomplainantsPHP3,453,664,710(approximatelyUS$74million)indamagesandfees.Therespondentsappealed
thearbitrator’sruling,anditwassubsequentlysetasidebytheNLRCinDecember2006.SubsequenttotheNLRC’sdecision,thepartiesfilednumerousappeals,
motionsforreconsiderationandpetitionsforreview,certainofwhichremainedoutstandingforseveralyears.Whilevariousofthoseappeals,motionsand/or
petitionswerepending,TheHillshireBrandsCompany,onJune23,2014,withoutadmittingliability,filedasettlementmotionrequestingthattheSupremeCourt
ofthePhilippinesorderdismissalwithprejudiceofallclaimsagainstitanditspredecessors-in-interestinexchangeforpaymentsallocatedbythecourtamongthe
complainantsinanamountnottoexceedPHP342,287,800(approximatelyUS$7million).
