NOW,THEREFORE,Tysonandyouherebymutuallyagreeasfollows:
1. Employment.
(a)Consideration.Inconsiderationoftheabove and othergoodandvaluableconsideration,you are expressly
being given employment, continued employment, a relationship with Tyson, certain monies, benefits, severance, stock awards,
training and/or access to trade secrets and confidential information of Tyson and its customers, suppliers, vendors or affiliates to
whichyouwouldnothaveaccessbutforyourrelationshipwithTysoninexchangeforyouagreeingtothetermsofthisAgreement.
(b)Duties.TysonherebyagreestoemployyouandyouherebyacceptemploymentwithTysonasitsPresidentand
ChiefExecutiveOfficer.Thedutiesandservicesrequiredtobeperformedbyyoushallbeconsistentwithyourposition,asassigned
bytheBoardofDirectorsofTyson(the“Board”)initssolediscretionfromtimetotime.Youagreetodevotesubstantiallyallof
yourworkingtime,attentionandenergiestothebusinessofTyson.Youmaymakeandmanagepersonalinvestments(providedsuch
investmentsinotheractivitiesdonotviolate,inanymaterialrespect,theprovisionsofSection6ofthisAgreement),beinvolvedin
charitable and professional activities, and, with the prior written consent of the Chairman of the Compensation and Leadership
DevelopmentCommitteeoftheBoard(the“CLDCChairman”),serveonboardsofotherforprofitentities,providedsuchactivities
donotmateriallyinterferewiththeperformanceofyourdutieshereunder.YouagreethatduringyouremploymentwithTyson,you
willnotengageinany(i)competitiveoutsidebusinessactivities,(ii)outsidebusinessthatprovidesgoodsorservicestoTyson,or
(iii)outsidebusinessthatbuysproductsfromTyson,otherthanwiththeCLDCChairman’spriorwrittenapproval.Youwilldevote
yourbesteffortstotheperformanceofyourdutiesandtheadvancementofTysonandshallnotengageinanyotheremployment,
profitableactivities,orotherpursuitswhichwouldcauseyoutodiscloseorutilizeConfidentialInformation(asdefinedinSection
6(a)),orreflectadverselyonTyson.Thisobligationshallinclude,butisnotlimitedto,obtainingtheconsentoftheCLDCChairman
priortoperformingtasksforbusinessassociatesofTyson outside of your customary duties for Tyson, improperly using Tyson’s
nameoridentifyingyourassociationorposition withTysoninamannerthatreflectsunfavorablyuponTyson.Youfurtheragree
thatyouwillnotuse,incorporate,orotherwisecreateanybusinessentityororganizationordomainname
