(b)Duties.TysonherebyagreestoemployyouandyouherebyacceptemploymentwithTyson.Thedutiesand
servicesrequiredtobeperformedbyyoushallbeconsistentwithyourposition,asassignedbyTysoninitssolediscretionfromtime
totime, andshallbeconsistentwiththelevelandresponsibilityofthedutiesand servicesperformedbyotheremployeesinyour
band(“Band”).AtTyson’ssolediscretion,bothyourpositionandBandaresubjecttochangeduringyourtermofemployment.You
agreetodevotesubstantiallyallofyourworkingtime,attentionandenergiestothebusinessofTyson.Youmaymakeandmanage
personalinvestments(providedsuchinvestmentsinotheractivitiesdonotviolate,inanymaterialrespect,theprovisionsofSection
6ofthisAgreement),beinvolvedincharitableandprofessionalactivities,and,withthepriorwrittenconsentofTyson’sGeneral
CounselorChiefHumanResourcesOfficer,serveonboardsofotherforprofitentities,providedsuchactivitiesdonotmaterially
interferewiththeperformanceofyourdutieshereunder.YouagreethatduringyouremploymentwithTyson,youwillnotengagein
any(i)competitiveoutsidebusinessactivities,(ii)outsidebusinessthatprovidesgoodsorservicestoTyson,or(iii)outsidebusiness
thatbuysproductsfromTyson,otherthanwithTyson’spriorwrittenapproval.Youwilldevoteyourbesteffortstotheperformance
ofyourdutiesandtheadvancementofTysonandshallnotengageinanyotheremployment,profitableactivities,orotherpursuits
whichwouldcauseyoutodiscloseorutilizeConfidentialInformation(asdefinedinSection6(a)),orreflectadverselyonTyson.
Thisobligationshallinclude,butis not limitedto,obtainingTyson’sconsentpriortoperformingtasksfor business associates of
Tyson outside of your customary duties for Tyson, giving speeches or writing articles, blogs, or posts, about Tyson’s business,
improperlyusingTyson’snameoridentifyingyourassociationorpositionwithTysoninamannerthatreflectsunfavorablyupon
Tyson.Youfurtheragreethatyouwillnotuse,incorporate,orotherwisecreateanybusinessentityororganizationordomainname
usinganynameconfusinglysimilartothenameofTysonorthenameofanyaffiliateofTysonoranyothernameunderwhichany
suchentitiesdobusiness.
(c)TermofEmployment.YouremploymentunderthisAgreementwillcommenceontheEffectiveDateabove
andendonthedateyouremploymentterminatespursuanttoSection3(the“PeriodofEmployment”).
