adispute,thedeterminationofDisabilitywillbemadebytheCommittee(asdefinedinTyson’sequityincentiveplan)andwillbe
supportedbyadviceofaphysiciancompetentintheareatowhichsuchDisabilityrelates.
(c)TerminationbyYouforGoodReason.Upontheoccurrenceofa“GoodReason”event,youmayterminate
youremploymentpursuanttothisAgreementbyprovidinganoticeofterminationforGoodReasontoTysonwithinnomorethan
seven(7)daysoftheGoodReasoneventandprovidingTysonthirty(30)daysfollowingreceiptofsuchnoticetocuretheGood
Reasonevent.IfTysoncurestheGoodReasoneventwithinsuch30dayperiod,youmaynotterminateyouremploymentforGood
Reason,butmayvoluntarilyresignpursuanttoSection3(d)below.IfTysonfailstocuretheGoodReasoneventwithinsuch30day
period,yourterminationofemploymentwillbeeffectiveunderthisSection3(c).ForpurposesoftheAgreement,youwillbetreated
ashavingterminatedfor“GoodReason”ifyouterminateemploymentafterhavingbeendemotedfromthepositioninwhichyou
wereemployedwhenexecutingthisAgreement.
(d)VoluntaryTerminationbyYouwithoutGoodReason.Youmayterminateyouremploymentpursuanttothis
Agreementatanytimebynotlessthanthirty(30)dayspriorwrittennoticetoTyson,whichnoticeperiodmaybewaivedbyTyson.
Uponreceiptofsuchnotice,Tysonshallhavetheright,atitssolediscretion,toaccelerateyourTerminationDateatanytimeduring
saidnoticeperiod.
(e)TerminationforCausebyTyson.Tysonmayterminateyouremploymenthereunderfor“Cause”atanytime
after providing a notice of termination for Cause to you. For purposes of this Agreement, you shall be treated as having been
terminatedforCauseifandonlyifyouareterminatedasaresultoftheoccurrenceofoneormoreofthefollowingevents:
(i)anywillfulandwrongfulconductoromissionbyyouthatinjuresTyson;
(ii)anyactbyyouofintentionalmisrepresentationorembezzlement,misappropriationorconversionofassetsof
Tyson;
(iii)you are convicted of,confess to, plead no contest to, or become thesubject of proceedings that provide a
reasonablebasisforTysontobelievethatyouhavebeenengagedinafelony;or
