3.Termination.Uponanyterminationofyouremploymentforanyreason,youshallimmediatelyresignfromallboards,
offices and other positions with Tyson or from any board or committee of an association or industry group where you represent
Tyson.ThedateuponwhichyouremploymentterminatesandthePeriodofEmploymentendswillbeyour“TerminationDate”for
allpurposesofthisAgreement.YouremploymentmaybeterminatedunderthisAgreementinthefollowingevents:
(a)Death.Youremploymenthereunderwillterminateuponyourdeath.
(b) Disability . Your employment hereunder will terminate upon your “Disability”. For purposes of this
Agreement,Disabilityhasthesamemeaningasprovidedinthelong-termdisabilityplanorpolicymaintainedor,ifapplicable,most
recentlymaintained,byTyson.Ifnolong-termdisabilityplanorpolicywasevermaintainedonbehalfofyouor,ifthedetermination
of Disability relates to an incentive stock option, Disability means that condition described in Section 22(e)(3) of the Internal
RevenueCode(the“Code”),asamendedfromtimetotime.Intheeventofadispute,thedeterminationofDisabilitywillbemadeby
theCommittee(asdefinedinTyson’sequityincentiveplan)andwillbesupportedbyadviceofaphysiciancompetentintheareato
whichsuchDisabilityrelates.
(c)TerminationbyYouforGoodReason.Upontheoccurrenceofa“GoodReason”event,youmayterminate
youremploymentpursuanttothisAgreementbyprovidinganoticeofterminationforGoodReasontoTysonwithinnomorethan
seven(7)daysoftheGoodReasoneventandprovidingTysonthirty(30)daysfollowingreceiptofsuchnoticetocuretheGood
Reasonevent.IfTysoncurestheGoodReasoneventwithinsuch30dayperiod,youmaynotterminateyouremploymentforGood
Reason,butmayvoluntarilyresignpursuanttoSection3(d)below.IfTysonfailstocuretheGoodReasoneventwithinsuch30day
period,yourterminationofemploymentwillbeeffectiveunderthisSection3(c).ForpurposesoftheAgreement,youwillbetreated
ashavingterminatedfor“GoodReason”ifyouterminateemploymentafterhavingbeendemotedtoalessseniorBandthanthatin
whichyouwereemployedwhenexecutingthisAgreementortoapositionnotcoveredbyaBand,whichTysondoesnotcureby
restoringyoutoyourformerBand.
