maynotplaceTysonConfidentialInformationorCreativeWorksonRemovableMedia,asdefinedbelow.OnTyson’srequest,your
acceptanceofotheremployment,ortheterminationofyouremploymentforanyreason,youwillimmediatelyreturntoTysonall
Tysonproperty,includingallConfidentialInformationandCreativeWorksandanyandalldocumentsandmaterialsthatcontain,
referto,orrelateinanywaytoanyConfidentialInformation,aswellasanyotherpropertyofTysoninyourpossessionorcontrol,
includingallelectronic andtelephonicequipment,credit cards,securitybadges,andpasswords.Youwill permitTysontoinspect
anypropertyprovidedbyTysontoyouordevelopedbyyouasaresultoforinconnectionwithyouremploymentwithTysonwhen
youacceptotheremploymentorotherwiseseparatefromyouremployment,regardlessofwherethepropertyislocated.Forpurposes
ofthisSection,“RemovableMedia”meansportableorremovableharddisks,floppydisks,USBmemorydrives,zipdisks,optical
disks,CDs,DVDs,digitalfilm,memorycards(e.g.,SecureDigital(SD),MemorySticks(MS),CompactFlash(CF),SmartMedia
(SM),MultiMediaCard(MMC),andxD-PictureCard(xD)),magnetictape,andallotherremovabledatastoragemedia.
(e)Non-Competition.YouacknowledgethatTysonperformsservicesthroughouttheUnitedStatesandthatyour
dutiesandservicesimpactTyson’sperformanceofservicesthroughouttheUnitedStates.Accordingly,youacknowledgetheneed
forcertainrestrictionscontainedinthisAgreementtobewithoutlimitationastolocationorgeographywithintheUnitedStates.You
agree that during your employment with Tyson, and for a period of 12 months thereafter, you will not directly or indirectly, on
behalfofyourselforinconjunctionwithanyotherperson,companyorentity,own(otherthanlessthan5%ownershipinapublicly
tradedcompany),manage,operate, orparticipateintheownership,management,operation,orcontrolof,orbeemployedbyora
consultant to any person, company or entity which is in competition with Tyson, with which you would hold a position with
responsibilitiessimilartoanypositionyouheldwithTysonduringthe24monthsprecedingyourTerminationDateorinwhichyou
wouldutilizeordiscloseconfidentialmethodologies,techniques,customerlistsorinformationofTyson.Youagreethatduringyour
employmentwithTysonandforaperiodof12monthsthereafteryouwillnotdirectlyorindirectly,onbehalfofyouoranyother
person, company or entity, participate in the planning, research or development of any strategies or methodologies, similar to
strategiesormethodologies,utilizedordevelopedbyTyson,excluding
