DuringthetermofthisAgreement oratanytimethereafter,unlessotherwisespecificallyauthorized inwritingbyTyson,
you hereby covenant and agree: (i) to hold Confidential Information in the strictest confidence; (ii) not to, directly or indirectly,
disclose,divulgeorrevealanyConfidentialInformationtoanypersonorentityotherthanasauthorizedbyTyson;(iii)tousesuch
Confidential Information only within the scope of your employment with Tyson for the benefit of Tyson; and (iv) to take such
protectivemeasuresasmaybereasonablynecessarytopreservethesecrecyandinterestofTysonintheConfidentialInformation.
YouagreetoimmediatelynotifyTysonofanyunauthorizeddisclosureoruseofanyConfidentialInformationofwhichyoubecome
aware.Theconfidentialityobligationshereinshallnotprohibityoufromrevealingevidenceofcriminalwrongdoingtolegitimate
lawenforcementofficialsorConfidentialInformationbyorderofcourtoragencyofcompetentjurisdictionorasotherwiserequired
bylaw;however,youshallpromptly informTysonofanysuchsituationsandshalltakereasonablestepstopreventdisclosureof
ConfidentialInformationuntilTysonhasbeeninformedofsuchrequireddisclosureandhashadareasonableopportunityfirstto
seekaprotectiveorder.
(b)CreativeWorks.“CreativeWorks”include,butarenotlimitedto,alloriginalworksofauthorship,inventions,
discoveries,designs,computerhardwareandsoftware,algorithms,programming,scripts,applets,databases,databasestructures,or
otherproprietaryinformation,businessideas,andrelatedimprovementsanddevices,whichareconceived,developed,ormadeby
you,eitheraloneorwithothers,inwholeorinpart,onoroffTyson’spremises,(i)duringyouremploymentwithTyson,(ii)withthe
use of the time, materials, or facilities of Tyson, (iii) relating to any product, service, or activity of Tyson of which you have
knowledge,or(iv)suggestedbyorresultingfromanyworkperformedbyyouforTyson.CreativeWorksdonotincludeinventions
orotherworksdevelopedbyyouentirelyonyourowntimewithoutusingTyson’sequipment,supplies,facilities, or trade secret
informationexceptforthoseinventionsorworksdevelopedduringyourPeriodofEmploymentthateither:(a)relateatthetimeof
conception or reduction to practice of the invention to Tyson’s business, or actual or demonstrably anticipated research or
developmentofTyson;or(b)resultfromanyworkperformedbyyouforTyson.Ifyouareorbecomearesidentofanystateduring
your employment that has enacted laws relating to ownership of works created without use of or reference to Tyson materials,
facilities,and/orintellectualpropertyanddonotrelatetoTyson’sbusiness,thisSectionshallbelimitedsolelytotheextentprovided
bytheapplicablelawsofsuchstates.
