Date.YouagreethatnothinginthisSectionshalllimityourconfidentialityobligationsinthisAgreement.Further,youunderstand
and agree that during your employment and the restricted time periods thereafter designated in this Agreement, while you may
gatherinformationtoinvestigateotheremploymentopportunities,youshallnotmakeplansorpreparetocompete,solicitortakeon
activitieswhichareinviolationofthisAgreement.ShouldyouleaveTysonandacceptemploymentoraconsultingpositionwitha
competitor,youarerequiredbeforehandtoinformTysonoftheidentityofyournewemployerandyourresponsibilitiesforthenew
employer.YouarealsorequiredtoshowthisAgreementtoallnewemployerspriortoacceptingnewemploymentandTysonshall
alsobepermittedtoshowthisAgreementtoallnewemployersaswell.
(f)Non-Solicitation.YouagreethatduringyouremploymentwithTysonandforaperiodof36monthsthereafter,
youwillnot,norwillyouassistanythirdpartyto,directlyorindirectly(i)raid,hire,solicit,encourageorattempttopersuadeany
employeeorindependentcontractorofTyson,oranypersonwhowasanemployeeorindependentcontractorofTysonduringthe6
monthsprecedingtheTerminationDate,whopossessesorhadaccesstoConfidentialInformationofTyson,toleavetheemployof
or terminate a relationship with Tyson; (ii) interfere with the performance by any such persons of their duties for Tyson; (iii)
communicate with any such persons for the purposes described in the paragraph above; or (iv) solicit, encourage or attempt to
persuade any customer or vendor of Tyson during the 6 months preceding your Termination Date to terminate or modify its
relationshipwithTyson.
(g)Non-Disparagement.Youagreethatyoushallnotatanytimeengageinanyformofconduct,ormakeany
statementorrepresentation,eitheroralorwritten,thatdisparages,impugnsorotherwiseimpairsthereputation,goodwillorinterests
ofTyson,oranyofitsofficers,directors,shareholders,managingmembers,representatives,and/oremployeesoragentsineitherthe
individualorrepresentativecapacitiesofanyoftheforegoingindividuals(including,withoutlimitation,therepetitionordistribution
of derogatory rumors, allegations, negative reports or comments). Nor shall you direct, arrange or encourage others to make any
such derogatory or disparaging statements on your behalf. Nothing in this Section, however, shall prevent you from providing
truthfultestimonyorinformationinanyproceedingorinresponsetoanyrequestfromanygovernmentalagency,orjudicial,arbitral
orself-regulatoryforum.
