(d)VoluntaryTerminationbyYouwithoutGoodReason.Youmayterminateyouremploymentpursuanttothis
Agreementatanytimebynotlessthanthirty(30)dayspriorwrittennoticetoTyson,whichnoticeperiodmaybewaivedbyTyson.
Uponreceiptofsuchnotice,Tysonshallhavetheright,atitssolediscretion,toaccelerateyourTerminationDateatanytimeduring
saidnoticeperiod.
(e)TerminationforCausebyTyson.Tysonmayterminateyouremploymenthereunderfor“Cause”atanytime
after providing a notice of termination for Cause to you. For purposes of this Agreement, you shall be treated as having been
terminatedforCauseifandonlyifyouareterminatedasaresultoftheoccurrenceofoneormoreofthefollowingevents:
(i) anywillfulandwrongfulconductoromissionbyyouthatinjuresTyson;
(ii) anyactbyyou of intentional misrepresentationorembezzlement,misappropriationorconversionof
assetsofTyson;
(iii) youareconvictedof,confessto,pleadnocontestto,orbecomethesubjectofproceedingsthatprovide
areasonablebasisforTysontobelievethatyouhavebeenengagedinafelony;or
(iv) your intentional or willful violation of any restrictive covenant provided for under Section 6 of this
Agreementoranyotheragreementtowhichyouareaparty.
For purposes of this Agreement an act or failure to act shall be considered “willful” only if done or omitted to be done
withoutyourgoodfaithreasonablebeliefthatsuchactorfailuretoactwasinthebestinterestsofTyson.InnoeventshallTyson’s
failuretonotifyyouoftheoccurrenceofanyeventconstitutingCause,ortoterminateyouasaresultofsuchevent,beconstruedas
aconsenttotheoccurrenceoffutureevents,whetherornotsimilartotheinitialoccurrence,orawaiverofTyson’srighttoterminate
youforCauseasaresultthereof.
(f)TerminationbyTysonwithoutCause.TysonmayterminateyouremploymenthereunderwithoutCauseatany
timeuponnoticetoyou.
