parties and delivered to the other party. Delivery of an executed counterpart of a signature page to this Amendment by facsimile, email
in “portable document format” (“.pdf”) form, or by other electronic means intended to preserve the original graphic and pictorial
appearance of a document, will have the same effect as physical delivery of the paper document bearing the original signature.
Section 2.2. Effect of Amendment. Except as expressly set forth herein, this Amendment shall not by implication or
otherwise limit, impair, constitute a waiver of, or otherwise affect the rights and remedies of the parties under the Merger Agreement,
and shall not alter, modify, amend or in any way affect any of the terms, conditions, obligations, covenants or agreements contained in
the Merger Agreement, all of which are ratified and affirmed in all respects and shall continue in full force and effect. This Amendment
shall apply and be effective only with respect to the provisions of the Merger Agreement specifically referred to herein. After the date
hereof, any reference to the Merger Agreement shall mean the Merger Agreement, as modified hereby.
Section 2.3. Miscellaneous. The provisions of Article VIII of the Merger Agreement shall apply to this Amendment
