The Audit Committee has determined that the provision of the non-audit services described in note (c) above was compatible
with maintaining the independence of PricewaterhouseCoopers LLP.
All Fiscal 2007 and Fiscal 2006 services were pre-approved by the Audit Committee. The Audit Committee has adopted a
policy requiring pre-approval by the committee of all services (audit and non-audit) to be provided by our independent
auditor. In accordance with that policy, the Audit Committee has given its approval for the provision of audit services by
PricewaterhouseCoopers LLP for Fiscal 2008 and has also given its approval for up to a year in advance for the provision by
PricewaterhouseCoopers LLP of particular categories or types of audit-related, tax, and permitted non-audit services. In
cases where the Audit Committee's pre-approval is not covered by one of those approvals, a designated member of the
Audit Committee has the delegated authority to pre-approve the provision of services, and such pre-approvals are then
communicated to the full Audit Committee.
