On May 26, 2004, the Company submitted to the New

The Company has paid cash dividends on its common
stock since 1975. The Board of Directors regularly
reviews the Company’s dividend plans to ensure that
they are consistent with the Company’s earnings
performance, financial condition, need for capital and
other relevant factors. Consistent with that review, on
March 16, 2005, the Board of Directors authorized a
dividend of $0.04 per share for the first quarter of 2005.
