ParticipantsinEXCELareassignedtargetawardsfortheyearbasedonapercentageoftheirbasesalariesasoftheendofthatyear.Thispercentageis
determinedbytheparticipant’swagegrade.For2004,targetawardsrangedfrom25%ofbasesalaryforlower-levelexecutivesto155%ofbasesalaryfor
theCEO.
EachyeartheCompensationCommitteeestablishesaperformancematrixfortheyearbasedontwoofthePlan’sperformancemetrics.Thismatrixdeter-
minesthepercentageofthePlan’stargetcorporatefundingpoolthatwillbeearnedfortheyearbasedontheCompany’sactualperformanceagainstthese
twometrics.Thetargetcorporatefundingpoolistheaggregateofallparticipants’targetawardsfortheyear.Undertheperformancematrix,thecorporate
fundingpoolwillfundat100%iftargetperformanceforeachperformancemetricismet.
TheCompensationCommitteemayuseitsdiscretiontoincreaseordecreasetheamountofthecorporatefundingpoolforanyyear.TheCompensation
Committeeconsidersanumberofbaselinemetricsbeforeapplyingthisdiscretion.In2004,thesebaselinemetricsincludedearningsfromoperations,days
supplyofinventoryfromcontinuingoperations,customersatisfaction,digitalrevenuegrowthandexecutionagainsttheCompany’snewbusinessmodel.In
addition,theCompensationCommitteemaychoosetoexercisediscretiontorecognizesuchthingsasunanticipatedeconomicormarketchanges,extreme
currencyexchangeeffectsandmanagementofsignificantworkforceissues.
TheCEOallocatesthecorporatefundingpoolamongtheCompany’sunits.Forexample,eachbusinessunithasitsowntargetsforoperationalperfor-
mancefortheyear.Actualperformanceagainstthesetargetsaccountsfor75%ofthebusinessunit’sallocation.Theremaining25%isdeterminedby
overallCompanyperformancefortheyearmeasuredagainsttheCompany’stargetsfortheyearbasedonthetwoEXCELperformancemetrics.
Seniormanagementofeachstaff,regional,functionalandbusinessunitallocatestheunit’sfundstoitsparticipantsbasedoneachparticipant’sindividual
performance.Thisassessmentincludesperformanceagainstpre-establishedindividualgoals,leadershipandsupportoftheCompany’sdiversityand
inclusionstrategy.
TheCompensationCommitteedeterminestheamountoftheawardpoolthatisallocatedtoeachoftheCompany’sexecutiveofficers.Inmakingthese
determinations,theCompensationCommitteeconsidersthesamefactorsthatareusedtoassessthePlan’sotherparticipants:performanceagainstpre-
establishedindividualgoals;leadership;andsupportoftheCompany’sdiversityandinclusionstrategy.
AwardstoCoveredEmployees
Beforeanyawardispaidforaperformanceperiod,theCompensationCommitteemustcertifyinwritingthattheperformancegoalsfortheperiodhave
beenmet.Iftheperformancegoalsaresatisfied,theCompensationCommitteedeterminestheportionoftheawardpoolthatistobeallocatedtoeach
“coveredemployee”basedontheapproachdescribedabove.
FormandPaymentofAwards
AwardsearnedunderthePlanforagivenyeararepaidincash,generallyinAprilofthefollowingyear.Aparticipantmaydeferthepaymentofallorany
partofhisorherawardintotheCompany’sdeferredcompensationplan,i.e.,theEastmanKodakCompany1982ExecutiveDeferredCompensationPlan.

SincethePlanisperformancebased,theawards,ifany,thatwillbeallocatedfor2005performancetotheCEO,theothernamedexecutiveofficers,the
executiveofficersandallemployeeswhoarenotexecutiveofficersarenotpresentlydeterminable.Thetablebelow,however,liststheEXCELawardsfor
2004thatwereallocatedtotheseemployeesandgroupsofemployees.
