the Date of Termination” and “, any portion of Executive’s annual Base Salary” in subclause (i) of Section 6(c).
11. The penultimate sentence of Section 9 shall be amended by adding the following language to the end of such sentence:
“; provided further that any such reimbursement shall occur no later than the last day of the calendar year following the calendar
year in which Executive incurred the reimbursable attorneys’ fees.”
12. The second sentence of Section 10(a) of the Employment Agreement shall be amended by replacing the phrase “termination of
Executive’s employment” with the phrase “Termination of Employment.”
13. Section 11 of the Employment Agreement shall be amended by adding the following language as new Section 11(i):
“Section 409A. The Company and Executive intend that this Agreement shall comply with Section 409A and shall be
interpreted, operated and administered accordingly.”
