ross misconduct or conducts himself (whether in connection with the Employment or not) in a
wa

which is harmful to an
y

; or
11.6.6 is

uilty of dishonesty or is convicted of an offense (other than a motorin
g
offence which does not result in
im
p
risonment
)
whether in connection with the Em
p
lo
y
ment or not; or
11.6.7 commits (or is reasonably believed by the Board to have committed) a breach of any le
g
islation in force which
ma

affect or relate to the business of an

11.6.8 becomes of unsound mind, is bankrupted or has a receivin

order made a

ainst him or makes any

eneral

osition with his creditors or takes advanta

11.6.9 becomes disqualified from being a director of a company or the Executive’s directorship of the Parent
terminates without the consent or concurrence of the Parent; or
11.6.10 fails to maintain or becomes disqualified from maintainin

istration with any re
g
ulatory body, membership of
which is reasonabl
y
re
q
uired b
y
the Com
p
an
y
for the Executive to carr
y
out his duties.
11.7 Where the Company terminates the Employment by
g
ivin
g
written notice to take immediate effect in accordance with
either clause 11.5 or 11.6 (or in the case of the Executive’s death), for the avoidance of doubt there is no obli
g
ation to
g
ive
notice as set out in clause 11.1 or any other period of notice or to make any payment in lieu of notice.
11.8 The Executive will have no claim for dama
g
es or any other remedy a
g
ainst the Company if the Employment is terminated
for any of the reasons set out in clause 11.5 or 11.6.
