The following table provides information on Ordinary Shares purchased by the Company during fiscal
2007/08
Note: At the Company’s 2006 Annual General Meeting (AGM), held in July 2006, shareholder approval was given
to purchase up to 10% of the ordinary shares in issue (up to 272 million shares) which approval was repeated at the
Company’s 2007 AGM, held in July 2007, to purchase 10% of the then issued share capital (up to 270 million
shares). As part of the interim results for the six months to 30 September 2006, a share buy-back programme was
announced to return around $1.9 billion (£1 billion) (based on cash flows from stranded assets under our US rate
plans). On 3 April 2007 the Company announced the sale of its UK Wireless business and that it would return
£1.8 billion to shareholders via an extension of the existing share buy-back programme, expected to be effected on
the London Stock Exchange over the next 12 to 18 months and dependent on market and economic conditions.
Shares will be repurchased in accordance with the Board’s general authority to make market repurchases of ordinary
shares, as previously approved by shareholders. The Board will seek shareholder approval to renew this authority at
the next AGM in July 2008. The ordinary share buyback commenced on 20 November 2006 and is ongoing pursuant
to the Board’s general authority as approved by the shareholders.
