data, know-how, information technology and know-how relatin

materials, financial information and any
other information concernin

the affairs of the Group or the personnel of the Group which is for the time bein
g
confidential, which the Executive is told is confidential or which by its nature is obviously confidential and whether such
information is in written, oral, visual, electronic or any other form.

8.2 If the Executive is provided with a credit or char
g
e card by the Company this must only be used for expenses which he
incurs in performing the duties of the Employment.
9 Confidentialit
y
9.1 Without prejudice to the common law duties which he owes to the Group the Executive a
g
rees that he will not, except in
the proper performance of his duties, copy, use or disclose to any person any of the Group’s trade secrets or confidential
information. This restriction will continue to apply after the termination of the Employment without limit in time but will not
apply to trade secrets or confidential information which become public other than throu
g
h unauthorized disclosure by the
Executive. The Executive will use his best endeavors to prevent the unauthorized copyin
g
, use or disclosure of such
information.
9.2 In the course of the Employment the Executive is likely to obtain trade secrets and confidential information belon
g
in
g
or
relatin
g
to other Group Companies and other persons. He will treat such information as if it falls within the terms of clause
9.1 and clause 9.1 will apply with any necessary amendments to such information. If requested to do so by the Company
the Executive will enter into an a
g
reement with other Group Companies and any other persons in the same terms as
clause 9.1 with an
y
amendments necessar
y
to
g
ive effect to this

rovision.
9.3 Nothin

reement should or will prevent the Executive from raisin
g
any concerns in accordance with the
provisions of the National Grid Standards of Ethical Business Conduct and the Requirement for Written Codes of Ethics
for Employees (incorporating Whistleblowing Protection).

10.1 The Executive must disclose immediately to the Company any discovery or invention, secret process or improvement in
