In this Agreement (and any schedules to it):
1.1 Definitions
“Board” means the board of directors of the Parent from time to time or any person or committee nominated by the board
of directors as its re
p
resentative for the
p
ur
p
oses of this A
g
reement;
“Employment” means the employment governed by this Agreement;
“Group” means the Parent, its ultimate holding company from time to time and the Parent’s associates (as defined in
section 435 of the Insolvency Act 1986) from time to time;
“Grou

” means a member of the Grou

and “Grou

Com
p
anies” will be inter
p
reted accordin

“holding company” has the meaning given in section 736 of the Companies Act 1985; and
“Listing Rules” means the listin

authority pursuant to Part VI of the Financial Services and Markets Act 2000.
