GENERAL INFORMATION

1. The admission of the Pro

ramme to listin

on the Official List of the U.K. Listin

Authority and to tradin

on the Market

is expected to take effect on or about 6 December 2007. The listin

of the Instruments on the Official List will be

e of their nominal amount (exclusive of accrued interest). Any Tranche of Instruments

intended to be admitted to listin

on the Official List of the U.K. Listin

Authority and admitted to tradin

on the Market

will be so admitted to listin

and tradin

upon submission to the U.K. Listin

Authority and the Market (in accordance

with their rules and procedures) of the relevant Final Terms and any other information required by the U.K. Listin

Authority and the Market, subject in each case to the issue of the relevant Instruments. Prior to official listin

will be permitted by the Market in accordance with its rules. Transactions will normally be effected for delivery on the

third working day in London after the day of the transaction.

2. The Issuer has obtained all necessary consents, approvals and authorisations in the United States of America in

connection with the issue and performance of the Instruments.

3. The establishment of the Pro

ramme was authorised by a resolution of the Executive Committee of the Board of

Directors of the Issuer passed on 14 November 2007.

4. The Instruments have been accepted for clearance throu

h the Euroclear and Clearstream, Luxembour

appropriate common code and the International Securities Identification Number in relation to the Instruments of each

Series will be specified in the Final Terms relatin

thereto. The relevant Final Terms shall specify any other clearin

system(s) as shall have accepted the relevant Instruments for clearance to

5. Neither the Issuer nor any of it subsidiaries is or has been involved in any
