7.6.2 The Executive agrees that (i) the Buyout Amount represents the Executive’s full entitlement under the

KeySpan Employment A

Employment Agreement (relating to certain excise tax gross-up payments), his ri

benefits set forth in Appendix A of the KeySpan Employment A

reement and certain other ri

benefits referenced in Schedule B of this A

reement, (ii) from the Commencement Date, the Executive

will not have any new or prospective ri

hts or entitlements under the KeySpan Employment A

reement,

(iii) no new “Protection Period” (as defined in the KeySpan Employment A

reement) will be tri

ered

followin

the KeySpan Mer

er Date; (iv) the certified public accountin

firm under Section 9 of the

KeySpan Employment Agreement shall be the Parent’s auditors, or such other certified public accountin

firm of national standing selected by the Company, but subject to the Executive’s approval (which

approval shall not be unreasonably withheld); and (v) the Executive must execute and deliver an effective

eneral release in the form attached as Exhibit B to this A

reement as a condition to receivin

the Buyout

Amount.

7.7 For the avoidance of doubt, from and after the date of this A

reement, and notwithstandin

the settlement of certain

hts of the Executive under the KeySpan Employment A

reement as set forth in clause 7.6, the Executive will

continue to participate in, and will retain any applicable vested ri

hts under, the applicable arran

ements pursuant to

clause 7.5 as well as the Ke

an Cor

oration arran

ements referenced in Schedule B to this A

reement.

8 Expenses

8.1 The Company will refund to the Executive all reasonable business expenses properly incurred by him in performin

his

duties under this A

reement, provided that these are incurred in accordance with Company policy from time to time.

The Company will require the Executive to produce receipts or other documents as proof that he has incurred any

expenses he claims.
