16 Governin

Law and Jurisdiction
16.1 Governing Law
The Instruments and all matters arisin
g
from or connected with the Instruments are
g
overned by, and shall be construed
in accordance with, English law.
16.2 Jurisdiction
The courts of England have exclusive jurisdiction to settle any dispute (a “Dispute”), arisin
g
from or connected with the
Instruments. The Issuer a
g
rees that the courts of En
g
land are the most appropriate and convenient courts to settle any
Dispute and, accordin
g
ly, that it will not ar
g
ue to the contrary. Nothin
g
in this Condition 16 prevents the Trustee or any
Instrumentholder from taking proceedings relating to a Dispute (“Proceedings”) in any other courts with jurisdiction. To
the extent allowed by law, the Trustee or Instrumentholders may take concurrent Proceedin
g
s in any number of
j
urisdictions.
16.3 Process Agent
The Issuer has irrevocably appointed National Grid plc at its registered office for the time being, currently at 1-3 Strand,
London WC2N 5EH as its a
g
ent in En
g
land to receive, for it and on its behalf, service of process in any Proceedin
g
s in
En
g
land. Nothin
g
herein or in the Trust Deed shall affect the ri
g
ht to serve process in any other manner permitted by
law.
