1 Interpretation

1.1 Definitions
“Board” means the board of directors of the Parent from time to time or any person or committee nominated by the
board of directors as its representative for the purposes of this Agreement;
“Em

“Group” means the Parent, its ultimate holding company from time to time and the Parent’s associates (as defined in
section 435 of the Insolvenc

Act 1986

from time to time;
“Group Company” means a member of the Group and “Group Companies” will be interpreted accordingly;

“KeySpan Merger Date” means August 24, 2007; and
“Listing Rules” means the listin

rules made by the Financial Services Authority in exercise of its functions as
competent authority pursuant to Part VI of the Financial Services and Markets Act 2000.
