period of 180 days (whether or not consecutive). This notice can be

11.5 The Company may terminate the Employment by giving written notice to take immediate effect if the Executive:
11.5.1 has not
p
erformed his duties under this A
g
reement to the standard re
q
uired b
y
the Board; or
11.5.2 commits any serious or persistent breach of his obligations under this Agreement; or
11.5.3 does not com
p
l
y
with an
y
term of this A
g
reement; or
11.5.4 does not comply with any lawful order or direction given to him by the Board; or
11.5.5 is
g
uilty of any
g
ross misconduct or conducts himself (whether in connection with the Employment or not) in a
way which is harmful to any Group Company; or
11.5.6 is
g
uilty of dishonesty or is convicted of an offense (other than a motorin
g
offence which does not result in
imprisonment) whether in connection with the Employment or not; or
11.5.7 commits (or is reasonably believed by the Board to have committed) a breach of any le
g
islation in force which
may affect or relate to the business of any Group Company; or
11.5.8 becomes of unsound mind, is bankrupted or has a receivin
g
order made a
g
ainst him or makes any
g
eneral
composition with his creditors or takes advantage of any statute affording relief for insolvent debtors; or
11.5.9 becomes disqualified from being a director of a company or the Executive’s directorship of the Parent
terminates without the consent or concurrence of the Parent; or
11.5.10 fails to maintain or becomes disqualified from maintainin
g
re
g
istration with any re
g
ulatory body, membership
of which is reasonably required by the Company for the Executive to carry out his duties.
11.6 Where the Company terminates the Employment by

written notice to take immediate effect in accordance with
either clause 11.4 or 11.5 (or in the event of the Executive’s and the Company’s mutual written agreement
