1.Business plans, manufacturing and marketing plans, procurement plans, product
roamaps, product design records, product test plans and reports, product
software and source codes, product pricing, product appearance, product
specifications, tooling specifications, personnel information, financial
information, customer lists, venders/supplier lists, distributor lists, raw materials
and product inventory information, all quality records, trade secrets, and other
information related to the Company’s business activities;
2.Documents, databases, or other related materials to any computer programs or
any development stages thereof;
3.Discoveries, concepts, ideas, designs, sketches, engineering drawings,
specifications, circuit layouts, circuit diagrams, mechanical drawings, flow
charts, production processes, procedures, models, molds, samples, components,
trouble shooting guides, chips and other know-how; and
4.Proprietary information of any third party (such as customers or
venders/suppliers) that the Company has a duty of confidentiality pursuant to
contracts or required by any applicable laws.
保密條款：員工在公司任職期間或離職後，都應羳嚴謹地保管在職期間所知悉
或持有之公司客戶及廠商營業機密(詳以下定義)，以確保其安全與機密性，
並防止其無權使用醝露或散岄除職務之正常使用外，非經公司事前書面同
意，員工不得以任何方式交付或移轉予第三人營業秘密係指所有同仁於
聘僱期間所創作開發取得知悉之一商業上技術上及生產上尚未公開
之資訊，不論這些資訊是否為：A公司公司客戶供應商，或公司欲與
其建立業務關係之任何第三者所有，或B以口頭書面圖面或電子媒體
形式為之，或C可岫請專利商標著作或其它智慧財產權，或(D)經公司
標示為機密或其他同義崉；營業秘密包括，但不限於：
1.經營計劃產銷計劃採購計劃產品開發計劃產品開發紀錄產品測試
計劃與報告產品原始程式與軟體產品訂價產品外觀產品規格模具
規格人事資料財務資料顧客資料供應商資料經銷商資料原料或
成品庫存資訊各類品質紀錄交易秘密及其他與公司營業活動和方式有關
之資料
2.電腦程式及其發展各階段中之所有相關文件資料庫等
3.發現概念構想設計構圖工程圖產品規格電路佈局圖線路圖
機構圖流程圖生產流程程序書模型模具樣品零配件維修技
術指引半導體晶片及其他專門技術
4.公司依約或法屉對第三人之營業秘密(如客戶供應商等)負有保密責任
