FOURTEENTH RESOLUTION
(Modication to article 9 paragraph 3 of the Articles of Association, relating to the duration of directors’ mandate)
The Shareholders’ General Meeting, deliberating in accordance with the quorum and majority requirements for shareholders’
extraordinary general meetings and having read the Board of Directors’ report, resolves to amend article 9 paragraph 3 of the
Articles of Association, to reduce the duration of directors’ term of ofce to four years and allow a progressive and harmonious
renewal of the members of the Board of Directors.
Accordingly, paragraph 3 of said article, which is currently drafted as follows:
“The duration of directors’ mandate is six years”
is hereby amended to the following:
“The term of ofce of the directors is four years. Staggered renewal will apply. By way of exception, and for the sole purpose of a
progressive implementation of such a staggered renewal, the Shareholders’ General Meeting may reduce the duration of current
terms of ofce – expiring at the Annual Shareholders’ General Meeting called to deliberate on the company nancial statements
for the nancial year ended March 31, 2013 – of one or more directors in order to ensure a regular renewal of the members of the
Board of Directors.
The staggered renewals by application of the previous paragraph shall be phased in over a four-year duration – being the directors'
new term of ofce under the amended Articles of Association.”
FIFTEENTH RESOLUTION
(Powers for legal formalities)
The Shareholders’ General Meeting, deliberating in accordance with the quorum and majority requirements for shareholders’
ordinary general meetings, fully empowers the bearer of a copy of excerpt of the minutes of this Meeting to carry out all legally
prescribed lings and formalities, as and when required.
